CODE OF REGULATIONS OF the Whitehall Yearling High School Alumni Association

A corporation chartered under the nonprofit laws of the State of Ohio

ARTICLE I

NAME, SEAL AND PRINCIPAL OFFICE

Section 1. Name. The name of the corporation shall be the Whitehall Yearling High School Alumni Association (hereinafter referred to as the "Association").

Section 2. Seal. The seal of the Association, if any, shall contain the name of the Association and be of such design as the Board of Trustees shall approve.

Section 3. Principal Office. The Association shall maintain its principal office in Whitehall, Ohio or such other location as the Board of Trustees may designate.

ARTICLE II

NATURE OF THE ASSOCIATION

Section 1. Nonprofit. The Association is not organized for pecuniary gain or profit, incidental or otherwise, and no part of the income of the Association may inure to the benefit of any individual except that reasonable compensation may be paid for services rendered, as provided in this Code of Regulations and the Bylaws of the Association, as same may be amended from time to time.

Section 2. Purposes. The purposes for which the Association has been formed are those set forth with specificity in the Articles of Incorporation of the Association. Notwithstanding, the Association has further been formed for the purpose of engaging in any lawful act or activity for which nonprofit corporations may be formed under Section 1702.01, et seq., of the Ohio Revised Code.

Section 3. Dissolution. Upon the dissolution of the Association, the Board of Trustees shall, after paying or making provision for the payment of all the liabilities of the Association, distribute to such organization or organizations organized and operated exclusively for charitable, educational, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue law), as the Trustees shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the Association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
